Terms of Service
These Terms of Service (the "Terms") govern access to and use of the Kryxo developer platform, documentation, dashboard and application programming interface (together, the "Platform"). By creating an account, requesting credentials, or using the Platform, you ("you", the "Partner") agree to these Terms. If you do not agree, do not use the Platform.
1. Who we are and what we provide
The Platform is operated by Kryxo Labs ("Kryxo", "we", "us"). Kryxo is a technology provider. Kryxo supplies software, an API and a secure card-display layer that let the Partner build card programs on top of licensed partners.
Kryxo is not a bank, a money services business, a payment institution, an electronic-money institution or a custodian. Kryxo does not issue cards, open accounts, hold balances, or hold, transmit or control customer funds. Card issuing, payment processing, settlement and custody are performed by licensed partners under their own regulatory authorizations. Kryxo does not provide legal, tax, financial or regulatory advice.
2. Definitions
- Platform — the Kryxo API, dashboard, documentation and secure display layer.
- Credentials — API keys, secrets, tokens and the base URL delivered to the Partner.
- End customer — a person or business to whom the Partner provides its own services using the Platform.
- Licensed partner — a regulated card issuer, processor or financial institution that performs issuing, settlement and custody.
3. Eligibility and credentials
Access to the Platform is granted under a written partner agreement. Credentials are delivered privately and are never published. You are responsible for keeping Credentials secret, storing them only on your server, restricting them to your server IP addresses, and rotating them on any suspicion of compromise. You are responsible for all activity carried out with your Credentials.
4. Acceptable use
You agree not to:
- use the Platform for any unlawful, fraudulent or infringing purpose, or to facilitate money laundering, terrorist financing or sanctions evasion;
- exceed published rate limits, probe, scan, or attempt to disrupt or gain unauthorized access to the Platform;
- reverse engineer, decompile or attempt to derive source code, except to the extent that applicable law expressly permits it;
- misrepresent your identity, impersonate any person, or expose Credentials in client-side code or public repositories;
- resell, sublicense or expose the raw API to third parties outside the scope of your agreement.
5. Partner responsibilities
You are solely responsible for your relationship with your end customers, for your own screens, products and communications, and for your compliance with all laws and regulations applicable to your business, including customer due diligence, consumer protection, data protection and anti-money-laundering obligations. You are responsible for obtaining any licences, registrations and authorizations that your activity requires.
6. Fees
Fees for use of the Platform are set out in your partner agreement. Fees payable to licensed partners for issuing, processing and settlement are governed by the arrangements with those partners. Taxes are your responsibility.
7. Intellectual property
The Platform, including its software, documentation, design and trademarks, is and remains the property of Kryxo and its licensors. Subject to these Terms, Kryxo grants you a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely to operate your card program during the term of your agreement. No other rights are granted.
8. Data protection
Where Kryxo processes personal data on your behalf in the course of providing the Platform, it does so as your processor, under your instructions, and in accordance with the Privacy Policy. You are the controller of your end customers' personal data. Card numbers, security codes and PINs are rendered by the secure display layer directly on the end customer's device; Kryxo does not store them and they never pass through your servers.
9. Warranties and disclaimers
The Platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. Kryxo does not warrant that the Platform will be uninterrupted, error-free or secure, or that it will meet your requirements.
10. Limitation of liability
To the maximum extent permitted by law, Kryxo shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to the Platform. Kryxo's total aggregate liability arising out of or relating to these Terms shall not exceed the fees paid by you to Kryxo in the three months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Kryxo and its officers, employees and licensors from any claim, loss or expense arising out of your use of the Platform, your products and services, your relationship with your end customers, or your breach of these Terms or of any applicable law.
12. Confidentiality
Each party shall keep confidential any non-public information disclosed by the other party, including Credentials, documentation marked confidential and commercial terms, and shall use it only to perform under these Terms.
13. Suspension and termination
Kryxo may suspend or terminate access to the Platform, in whole or in part, where it reasonably believes there is a security risk, a breach of these Terms, unlawful activity, or a requirement imposed by a licensed partner or by law. You may stop using the Platform at any time. On termination, your licence ends and you must stop using the Platform and destroy your Credentials. Provisions that by their nature should survive termination will survive.
14. Changes to these Terms
Kryxo may update these Terms from time to time. Material changes will be notified by a reasonable means. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of Switzerland, without regard to conflict-of-laws rules. The courts of Geneva, Switzerland shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, without prejudice to any mandatory consumer-protection rights.
